Key points

  • Warburg Pincus has increased its buyout offer for Ingenia Communities to $5.45 per security following a rival proposal.

  • The revised acquisition price triggered a formal matching right process involving competing suitor AVID Property Group.

  • The company stated that the latest proposal is being evaluated to determine if it constitutes a superior outcome for security holders.

Warburg Pincus submitted a revised acquisition proposal to purchase Ingenia Communities (ASX:INA) for $5.45 per security in cash.

This upward revision follows a competing takeover bid from AVID Property Group that valued the target entity at $5.35 per share.

The board of Ingenia Communities stated that the latest proposal could reasonably lead to a superior transaction compared to prior offers.

Under existing agreement terms, AVID Property Group has been given the opportunity to match the updated proposal before any final transaction proceeds.

Following the announcement, the Ingenia Communities (ASX:INA) share price was up at $5.27.

The target company manages a diverse portfolio of residential communities and holiday parks across Australia.

Both competing proposals remain subject to due diligence requirements and customary regulatory conditions.
