Robo.ai Inc. Issues Preliminary Guidance for First Half of 2026 and Provides Business Update

Abu Dhabi, UAE – August 20, 2026 – Robo.ai Inc. (NASDAQ: AIIO, “Robo.ai” or the “Company”) today announced that its interim report for the six months ended June 30, 2026, will be released on August 24, 2026, together with updates on recent business developments.
Since the start of 2026, the Company has executed a series of transformative acquisitions, restructurings, and transactions. The divestiture of legacy businesses has eliminated most historical liabilities, while newly acquired operations are expected to gradually contribute to revenue. These actions are anticipated to positively impact financial performance and turn shareholders’ equity positive:

Divestiture of Legacy Business: Robo.ai has completed the disposal of its traditional business, which carried the majority of historical liabilities.

Acquisition of Neurovia AI: This acquisition grants Robo.ai exclusive rights to advanced AI data processing and compression technologies, with applications across public safety, transportation, energy, and municipal sectors. The Neurovia team is currently conducting project and product testing with customers.

Acquisition of Quantum Core Capital: Robo.ai acquired this AI‑driven deep technology holding and incubation platform. Its operating entities are expected to gradually commence business activities in the UAE.

Establishment of Alif Holding: Robo.ai has launched this industrial group focused on technology infrastructure in the UAE, specializing in the development, integration, and manufacturing of new technologies and advanced materials. Alif Holding will serve government, public sector, and mission‑critical industries. His Excellency Dr. Ahmed Naser Al‑Raisi, former President of INTERPOL, has been appointed Chairman, and Dr. Jasem Al‑Mansory, former senior official at the UAE Ministry of Interior, has been appointed Chief Executive Officer. These appointments further strengthen the Company’s governance and leadership team.

Given the scale of business adjustments during the reporting period, results for the six months ended June 30, 2026 are not comparable to the same period last year and should not be used as an indicator of future performance. Revenue for this period primarily reflects transitional business activity and should not be considered guidance for normalized future revenue levels.
The Company plans to file unaudited condensed consolidated financial statements with the U.S. Securities and Exchange Commission on Form 6‑K, which will provide further details on these transactions and future outlook.
